Contract lifecycle management

Also called: CLM

Contract lifecycle management covers the whole life of an agreement: request, drafting, negotiation, approval, signature, storage, obligation tracking and renewal. A contract repository handles the second half of that well, which for many organisations is where the failures actually are.

What full CLM adds

In-document negotiation with redline comparison, clause-level analytics across a portfolio, automated risk scoring against a playbook, and counterparty collaboration in the drafting environment itself. These are substantial capabilities and a dedicated CLM product does them considerably better than a document system.

Where the failures usually are

Not in negotiation. The failures that cost money are renewal by inattention, agreements signed from a template copy that predates a clause change, amendments filed away from their parent agreement, and nobody being able to state the organisation's exposure to a given counterparty.

All four are repository and metadata problems. They are solved by extracted terms as reportable fields, generation from a controlled template, links between related documents, and a renewal report driven by renewal date minus notice period.

Choosing between them

If the bottleneck is redline negotiation across many counsel and counterparties, buy CLM. If the bottleneck is that nobody knows what the organisation has agreed to, a controlled repository with enforced metadata solves it at a fraction of the cost and implementation effort.

A useful test: count how many hours a month are spent negotiating versus how many are spent looking for an agreement or discovering a renewal too late.

Contract lifecycle management: common questions

Is a contract repository the same as CLM?

No — it is the storage and reporting half. Whether the other half is worth buying depends on whether your negotiation volume justifies a specialised tool.

Can obligations be tracked without CLM?

The dated ones, yes — renewal, notice, review and expiry all work as metadata fields with a report. Narrative obligations buried in clause text are where a dedicated tool earns its place.
